Welcome to the Pip Pip Yalah Carpooling Platforms, which provides its services to you on condition that you agree to comply with these conditions of use (hereinafter, the “general conditions of use”) which are intended to regulate access and terms of use of the Platforms.

In addition, the use of certain Pip Pip Yalah services is subject to rules or guidelines, or other specific terms and conditions, displayed where applicable on our Platforms and integrated by a link. All such rules and guidelines form an integral part of the General Conditions of Use.

By clicking on the LOG IN or REGISTER button (“Phone number” “Log in with Facebook” or “Sign up with email” or “Apple ID”), you acknowledge that you have read and accept these terms and conditions in their entirety. of use.

• Carpooling: This refers to transportation carried out by several people on the same route and in the same vehicle when only transportation costs are shared, and no compensation is requested. Specifically, a driver offering carpooling must also travel to the destination themselves, even if they have no passengers. Passenger transport becomes incidental to the trip and not its main purpose. Passengers help compensate the driver for the cost of using their vehicle for the trip.
• Platforms: Refers to the platforms developed for Pip Pip Yalah, intended for user members, including the website, Android & iOS mobile app, and social media..
• CGU : refers to these General Conditions of Use.
• Driver: Refers to the Member offering, on the Platforms, to transport another person in exchange for a Contribution to Costs, for a trip and schedule determined solely by them.
• Listing: Refers indifferently to a Carpooling Listing.
• Member: Refers to any individual who has created an account on the Platforms.
• Trip: Refers indifferently to a Carpooling Trip or a Trip.
• Contribution to Costs: Refers to the amount of money requested by the Driver and accepted by the Passenger as a contribution to their travel expenses for a given Carpooling Trip.

This contract is a distance contract aimed at defining the rights and obligations of the parties in the context of the sale of services by Agence89 on the Internet, via the secure online payment platform of the Centre Monétique Interbancaire (CMI).

Pip Pip Yalah is a service and a registered trademark of Agence89.

These General Terms of Use govern all transactions conducted on the Pip Pip Yalah Platforms. Any reservation made on these Platforms implies the unconditional and irrevocable acceptance of these terms by the member.

If a provision of the T&Cs is deemed invalid or inapplicable in whole or in part, this invalidity or inapplicability only attaches to this provision or part of this provision. All other provisions of these general conditions of use remain valid.

When you register on the Platforms, your account is created in conjunction with your personal mobile phone number, which you enter.

You are responsible for maintaining the confidentiality of your account, and you are fully responsible for all activities related to your account.

To this end, you undertake to:

• Notify Pip Pip Yalah immediately of any unauthorized use of your account or any other breach of its security.
• Ensure that you log out of your account at the end of each user session.

Contact support if you change or lose your personal phone number to prevent anyone else from accessing your account.

Users agree to use the service solely for connecting people wishing to carpool on a non-professional and non-commercial basis.

To register and benefit from the service, each member must first create an account by providing valid personal data about themselves. Use and registration on the platforms are reserved for persons aged 18 or older. Any registration on the platforms by a minor is strictly prohibited.

Pip Pip Yalah cannot be held responsible for inaccurate information provided by registrants, despite checks by Pip Pip Yalah moderators and support team. Platform users, when registering their profile, agree to provide accurate information about themselves and keep it regularly updated. In the event of inaccuracy, obsolescence, or incompleteness of this information, Pip Pip Yalah is entitled to terminate the user's account if inaccurate information is detected about one of its members.

Pip Pip Yalah cannot be held responsible for the professional or commercial use of the services offered.

The compensation requested by the driver from their passengers must only be a contribution to costs, and the driver must not make any profit.

The Platforms allow members to post Carpool Advertisements and view advertisements as well as interact with each other to reserve seats. You cannot publish a carpool ad or reserve a place without first creating an account and becoming a member.

To create your Account, you can:

• Fill in all the required fields on the registration form;
• Or connect using your Facebook account (hereinafter, your “Facebook Account”), Google, or Apple. By using this feature, you understand that Pip Pip Yalah will have access to and retain certain information related to your account registration. You can unlink your Pip Pip Yalah Account from your Facebook, Google, or Apple Accounts at any time via the Settings section of your profile. If you want to learn more about how your data is used concerning your Facebook, Google, or Apple Account, please refer to our Privacy Policy and those of Facebook.

You agree not to create or use, under your own identity or that of a third party, any other accounts than the one initially created.

As an intermediary between users, Pip Pip Yalah cannot be held responsible for the publication of any ad violating third-party rights or misleading or inaccurate information included in various available media. This list is not exhaustive. Pip Pip Yalah reserves the right to monitor information disseminated through its platforms. This control may include contacting a user, moderating certain profiles, or even deleting them.

Pip Pip Yalah may, for transparency, trust-building, or fraud prevention or detection, implement a system to verify certain information you provide on your profile. This includes, for example, when you enter your phone number or provide an ID.

You acknowledge and agree that any reference on the platforms or services to supposedly “verified” information or similar terms means only that a member has successfully completed the verification procedure of the information provided upon registration on the platforms. Pip Pip Yalah does not guarantee the truthfulness, reliability, or validity of the information subject to the verification process.

Pip Pip Yalah connects drivers and passengers making a similar trip and wishing to share transportation costs. This service applies to trips across the Moroccan territory. Pip Pip Yalah commits, within its means, to contribute to the emergence and deployment of a reliable, safe, and friendly carpooling network. To ensure a high service quality, Pip Pip Yalah reserves the right to exclude or limit the access rights of any person who harms or does not respect the spirit of the service. This version of the GTU may be revised by Pip Pip Yalah to follow service developments. It can be modified at any time without notice.

Given the volume of information submitted by members, Pip Pip Yalah's control over this information can only be limited. Therefore, members are solely responsible for the content they publish, and Pip Pip Yalah does not guarantee the truthfulness or honesty of this content. Generally, Pip Pip Yalah cannot be held responsible for any direct or indirect damage that may result from using or the inability to use the Platforms.

You agree and commit to using the Platforms only for carpooling purposes. For example, you agree and commit not to:

• Defame, abuse, harass, stalk, threaten, or violate the individual rights of other users or third parties;
• Post, publish, upload, distribute, or disseminate any inappropriate, vulgar, defamatory, obscene, indecent, or illegal material or information;
• Conduct surveys or, ultimately, pyramid schemes or chain letters;
• Upload a photo or screenshot of content posted by another user without their permission;
• Violate applicable laws or regulations in Morocco;
• Breach these terms of use or any other site terms and conditions;
• Comment, behave, or publish on the Platforms any defamatory, offensive, obscene, pornographic, vulgar, offensive, aggressive, inappropriate, violent, threatening, harassing, racist, xenophobic, or sexually suggestive content, inciting violence, discrimination, or hatred, encouraging illegal activities or the use of illegal substances, or generally contrary to the purposes of the Platforms, likely to harm the rights of Pip Pip Yalah or a third party, or contrary to morals;
• Use the Platforms for professional, commercial, or profit-making purposes;
• Transmit to Pip Pip Yalah (especially when creating or updating your Account) or to other Members false, misleading, deceptive, or fraudulent information;
• Infringe on Pip Pip Yalah's rights and image, particularly its intellectual property rights;
• Attempt to bypass the online booking system on the Platforms, particularly by trying to communicate your contact details to another Member to book outside the Platforms and not pay the Service Fees;
• Contact another Member, particularly through the Platforms, for any purpose other than defining the terms of carpooling;
• Accept or make a payment outside the Platforms (except for choosing to pay in cash when booking).

As a Member, and provided that you meet the conditions below, you can create and publish Carpool Advertisements on the Platforms by indicating information about the Carpool Trip that you intend to take (dates/times and locations). departure and arrival times, number of places offered, amount of Contribution to Costs, etc.)

When posting your Carpooling Ad, you can indicate the passing cities where you agree to stop to pick up or drop off Passengers. The sections of the Carpooling Trip between these stopover cities or between one of these stopover cities and the starting or ending point of the Carpooling Trip constitute “Sub-Trips”.

You are only allowed to post a Carpooling Ad if you meet all the following conditions:

• You hold a valid driving license;
• You only offer Carpooling Ads for vehicles you own or use with the owner's express permission, and in all cases, that you are authorized to use for carpooling purposes;
• You are and remain the primary driver of the vehicle, the subject of the Carpooling Ad;
• The vehicle has valid liability insurance;
• You take no risks while driving, consume no products that may impair your attention and abilities, and drive vigilantly and safely;
• You have no medical contraindications or incapacities to drive;
• The vehicle you intend to use for the Trip is a four-wheel passenger car with a maximum of 7 seats, excluding so-called “license-free” cars;
• You do not intend to post another ad for the same Carpooling Trip on the Platforms;
• You do not offer more Seats than available in your vehicle;
• You post Carpooling Ads for only genuinely planned trips;
• All offered Seats have seat belts, even if the vehicle is approved with seats without seat belts;
• In case of impediment or schedule change or the Carpooling Trip, immediately inform your Passengers via the Platforms' messaging system;
• You use a vehicle in perfect working order and compliant with applicable legal practices and provisions, particularly with up-to-date technical inspection;
• You ensure that your Passengers can reach you by phone at the number registered on your profile;
• You are a consumer and do not act professionally.

When a Passenger is interested in a Carpooling Offer, they can make an online Booking request. This Booking request is manually accepted by the Driver. At the time of Booking, the Passenger makes an online payment for the amount of the Contribution to Costs and the applicable Service Fees. After verifying the payment by Pip Pip Yalah and validating the Booking request by the Driver, if applicable, the Passenger receives a booking confirmation.

From the Booking Confirmation, Pip Pip Yalah sends you the driver's contact details (if you are a Passenger) or the Passenger (if you are the Driver). You are now solely responsible for executing the contract binding you to the other Member.

If you are a passenger, you commit to:

1. You hold a valid driving license;
2. You only offer Carpooling Ads for vehicles you own or use with the owner's express permission, and in all cases, that you are authorized to use for carpooling purposes;
3. You are and remain the primary driver of the vehicle, the subject of the Carpooling Ad;
4. The vehicle has valid liability insurance;
5. You take no risks while driving, consume no products that may impair your attention and abilities, and drive vigilantly and safely;
6. You have no medical contraindications or incapacities to drive;
7. The vehicle you intend to use for the Trip is a four-wheel passenger car with a maximum of 7 seats, excluding so-called “license-free” cars;
8. You do not intend to post another ad for the same Carpooling Trip on the Platforms;
9. You do not offer more Seats than available in your vehicle;
10. You post Carpooling Ads for only genuinely planned trips;
11. All offered Seats have seat belts, even if the vehicle is approved with seats without seat belts;
12. In case of impediment or schedule change or the Carpooling Trip, immediately inform your Passengers via the Platforms' messaging system;
13. You use a vehicle in perfect working order and compliant with applicable legal practices and provisions, particularly with up-to-date technical inspection;
14. You ensure that your Passengers can reach you by phone at the number registered on your profile;

Any use of the services, whether as a passenger or driver, is personal. Both the driver and the passenger must match the identity communicated to Pip Pip Yalah and the other members participating in the carpooling if applicable.

The platforms are intended for seat reservations for individuals. It is therefore forbidden to book a seat for transporting an object, package, unaccompanied animal, or any material object.

Moreover, it is forbidden to post a carpooling ad for a driver other than yourself.

To pay for your reservation, you choose the payment method from those offered by Pip Pip Yalah on the payment page.

In this case, the transaction is debited from your account on the day following the payment confirmation date.

Your online payments are secured by the Centre Monétique Interbancaire (CMI), which provides a fully secure payment service.

The member guarantees Pip Pip Yalah that they have the necessary authorizations to use the payment method chosen during the payment validation.

In case of payment by credit card, the provisions related to the fraudulent use of the payment method provided in the agreements between the member and the card issuer and between Pip Pip Yalah and its banking institution apply.

Gift wallet balances are valid for 3 months from the gift receipt date. After this period, unused balances will be considered expired and can no longer be used.

It is important to leave a review, engaging in the sincerity of this review you post on the Pip Pip Yalah Platforms about a Driver (if you are a Passenger) or a Passenger (if you are a Driver) with whom you shared a Trip or with whom you were supposed to share a Trip. However, you are not allowed to leave a review on another Passenger if you were yourself a Passenger, nor on a Member with whom you did not travel or were not supposed to travel.

Your review, along with the one left by another member about you, if applicable, is visible and published on the Platforms only after you both have left a review or after 14 days have passed since the first review was left.

You can respond to a review another Member has left about you within a maximum of 14 days following the publication of the review left for you. The review and your response, if any, will be published on your profile.

You acknowledge and accept that Pip Pip Yalah reserves the right not to publish or to remove any review, question, comment, or response whose content seems contrary to these GTU.

Pip Pip Yalah reserves the right to suspend your Account, limit your access to the Services, or terminate these GTU if you have received at least three reviews and the average of the reviews you have received is equal to or less than 2 stars.

Access and registration to the Platforms, as well as searching, viewing, and posting ads, are free. However, Booking is chargeable under the conditions described below.

For a Carpooling Trip, the amount of the Contribution to Costs is determined by you, as the Driver, under your sole responsibility. It is strictly forbidden to profit from using our Platforms. Therefore, you agree to limit the amount of the Contribution to Costs you request from your Passengers to the costs you actually incur for making the Carpooling Trip. Otherwise, you alone will bear the risks of reclassification of the operation carried out via the Platforms.

When you post a Carpooling Ad, Pip Pip Yalah suggests a Contribution to Costs amount that considers the nature of the Carpooling Trip and the distance traveled. This amount is purely indicative, and it is up to you to adjust it upward or downward to reflect the costs you actually incur on the Carpooling Trip. To avoid abuse, Pip Pip Yalah limits the possibilities of adjusting the Contribution to Costs amount.

Pip Pip Yalah may charge service fees to its users in return for using the Platforms. The user will be informed before any application of Service Fees if applicable.

Pip Pip Yalah reserves the right to change the calculation methods of Service Fees at any time. These changes will not affect Service Fees accepted by users before the effective date of these changes.

You acknowledge and accept that Pip Pip Yalah may, at its sole discretion, round down or up the Service Fees and the Contribution to Costs.

In the context of a Carpooling Trip, and after accepting the Booking by credit card, Pip Pip Yalah collects the total amount paid by the Passenger (Service Fees and Contribution to Costs).

The Contributions to Costs received by Pip Pip Yalah are deposited in a dedicated account for paying Drivers.

You acknowledge and accept that none of the sums collected by Pip Pip Yalah on behalf of and for the account of the Driver entitles you to interest. You agree to respond promptly to any request from Pip Pip Yalah and generally from any competent administrative or judicial authority, particularly regarding the prevention or fight against money laundering. In particular, you agree to provide, upon simple request, any useful proof of residence and/or identity.

After the Carpooling Trip, Passengers have 24 hours to submit a claim to Pip Pip Yalah. In the absence of a dispute during this period, Pip Pip Yalah considers the confirmation of the Trip as acquired.

From this express or tacit confirmation, you, as the Driver, have a payable credit on your Account. This credit corresponds to the total amount paid by the Passenger at the time of the Booking confirmation minus the Service Fees, i.e., the amount of the Contribution to Costs paid by the Passenger.

When the Carpooling Trip is completed and confirmed by the Passenger, you can instruct Pip Pip Yalah to transfer the money to your bank account (by first entering your bank details).

The transfer order in your name will be sent a few days after your request or in the absence of a request from you (provided Pip Pip Yalah has your bank and personal information).

At the end of the applicable 5-year prescription period, any unclaimed amount from Pip Pip Yalah will be deemed to belong to Pip Pip Yalah.

In the absence of a response from you to these requests, Pip Pip Yalah may take any measures it deems appropriate, including freezing the amounts paid and/or suspending your Account and/or terminating these GTU.

As a Driver, you commit not to request a Contribution to Costs exceeding the expenses you actually incur, which could generate a profit. In the context of cost-sharing, you must also, as a Driver, bear your share of the costs related to the carpooling trip. You are solely responsible for calculating the costs you incur for the carpooling trip and ensuring that the amount requested from your Passengers does not exceed the actual costs incurred (excluding your share of participation in the costs).

Pip Pip Yalah reserves the right to suspend your Account if you use a professional vehicle such as VTC or taxi, a company or service car, thereby generating a profit on the Platforms. You agree to provide Pip Pip Yalah, upon simple request, with a copy of your registration document and/or any other document certifying that you are authorized to use this vehicle on the Platforms and are not benefiting from it.

Pip Pip Yalah also reserves the right to suspend your Account, limit your access to the Services, or terminate these GTU in case of activity on your part on the Platforms which, due to the nature of the trips offered, their frequency, the number of Passengers transported, or the amount of the Contribution to Costs requested, results in a profit situation for you or for any reason that leads Pip Pip Yalah to suspect that you are generating a profit on the Platforms.

Only carpool trips are subject to this cancellation policy. Pip Pip Yalah does not offer any guarantee, of any kind, in case of cancellation for any reason.

Cancellation or absence of a member after confirmation and connection for a carpool trip is subject to the following stipulations:

In case of cancellation or absence attributable to the passenger:

• Cancellation of a booking by a passenger before it is pre-approved by the driver incurs no penalty, regardless of the time of the action.
• Cancellation of a booking by a passenger after it has been approved by the driver incurs no penalty if the payment for this booking has not yet been made.
• Cancellation of a booking by a passenger after it has been pre-approved by the driver incurs no penalty, even if the payment for this booking has been made, provided that this cancellation is done before 50% of the time between the payment time and the departure time of the carpool trip in question. Thus, the amount debited from their bank card is fully refunded to the passenger (i.e., the Contribution to Costs and the associated service fees).
• Cancellation of a booking by a passenger after it has been approved by the driver incurs a penalty of 20% of the amount paid at the time of booking if the cancellation is made after 50% of the time between the payment time and the departure time of the carpool trip in question. Thus, 80% of the amount debited from their bank card is refunded to the passenger. The driver is compensated up to the service fees applicable, and the rest is retained by Pip Pip Yalah.
• Absence of a passenger after booking and payment for a carpool trip gives the right to an exceptional refund of 50% of the amount debited from their bank card at the time of booking.
• Absence of the passenger who does not show up at the meeting place no later than 30 minutes after the agreed time gives the right to an exceptional refund of 50% of the amount debited from their bank card at the time of booking. The driver is compensated up to the total amount retained by Pip Pip Yalah.

You can terminate your contractual relationship with Pip Pip Yalah at any time, free of charge (provided you do not have a negative balance on your account wallet) and without reason. To do so, you simply need to make a request to the Pip Pip Yalah team at the following address: [email protected].

In case of violation of these general conditions, if Pip Pip Yalah has serious reasons to believe that it is necessary to protect its security and integrity, those of its members or third parties or to prevent fraud or investigations, Pip Pip Yalah reserves the right to:

• Terminate, immediately and without notice, these general conditions; and/or
• Prevent the publication or remove any advertisement, announcement, message, content, booking request, or any content posted by you on the platforms; and/or
• Limit your access and use of the platforms; and/or
• Temporarily or permanently suspend your account.

When necessary, you will be informed of the implementation of such a measure to allow you to provide explanations to Pip Pip Yalah. Pip Pip Yalah will decide, at its sole discretion, whether to lift or maintain the measures implemented.

Subject to the content provided by its members, Pip Pip Yalah is the sole owner of all intellectual property rights related to the Service, the Platforms, their content (including texts, images, designs, logos, videos, sounds, data, graphics), as well as the software and databases ensuring their operation, protected by the provisions of Law No. 17-97 on industrial property, promulgated by Dahir 1-00-19 dated February 15, 2000, as amended and supplemented by Law 31-05 and the provisions of Law No. 2-00 on copyright, promulgated by Dahir No. 1-00-20 dated February 15, 2000, as amended and supplemented by the law of February 14, 2006

Pip Pip Yalah grants you a non-exclusive, personal, and non-transferable license to use the Platforms and the Services for your personal and private use, for non-commercial purposes and in accordance with the purposes of the Platforms and the Services.

You prohibit any other use or exploitation of the Platforms and the Services, as well as their content, without the prior written authorization of Pip Pip Yalah. In particular, you prohibit:

• Reproducing, modifying, adapting, distributing, publicly displaying, broadcasting the Platforms, the Services, and their content, except with the express authorization of Pip Pip Yalah;
• Decompiling or reverse engineering the Platforms or the Services, subject to the exceptions provided by applicable law;
• Extracting or attempting to extract (including using data mining robots or any other similar data collection tool) a substantial part of the data from the Platforms.

Content Published by Members

To enable the provision of the Services and in accordance with the purposes of the Platforms, you grant Pip Pip Yalah a non-exclusive license to use the content and data you provide in connection with your use of the Services (hereinafter referred to as 'Your Member Content'). To allow Pip Pip Yalah to distribute via a digital network and according to any communication protocol (including the Internet and mobile network), as well as to make the content of the Platforms accessible to the public, you authorize Pip Pip Yalah, for the entire world and for the duration of your contractual relationship with Pip Pip Yalah, to reproduce, represent, adapt, and translate Your Member Content as follows:

• You authorize Pip Pip Yalah to reproduce all or part of Your Member Content on any digital recording medium, known or unknown to date, and in particular on any server, hard disk, memory card, or any other equivalent medium, in any format and by any process known or unknown to date, to the extent necessary for any storage, backup, transmission, or download operation related to the operation of the Platforms and the provision of the Service;
• You authorize Pip Pip Yalah to adapt and translate Your Member Content, as well as to reproduce these adaptations on any digital medium, current or future, for the purpose of providing the Services, particularly in different languages. This right includes, in particular, the ability to make formatting changes to Your Member Content to comply with the graphical charter of the Platforms and/or to make it technically compatible for publication via the Platforms.

In accordance with Law No. 31-08 promulgated by Dahir No. 1-11-03 dated February 18, 2011, and relating to consumer protection (the 'Consumer Protection Law'), each member who has purchased or reserved a carpooling trip from our Platforms can exercise their right of withdrawal within 7 (seven) days from the validation of the reservation. However, this right of withdrawal can no longer be exercised once the trip has already started or after the date of the carpooling trip subject to the reservation.

The handling of animals or luggage is subject to prior agreement between the driver and the passenger(s). The information requested on this subject during registration must be correctly completed by both parties.

Pip Pip Yalah will strive, as far as possible, to maintain the Platforms accessible 7 days a week and 24 hours a day. However, access to the Platforms may be temporarily suspended, without notice, due to technical maintenance operations, migrations, updates, or due to outages or constraints related to the operation of the networks.

Additionally, Pip Pip Yalah reserves the right to modify or discontinue, at its sole discretion, temporarily or permanently, all or part of the access to the Platforms or its features.

AGENCE89 collects and processes your personal data as part of the connection between drivers and passengers.

Your data may be shared with government authorities. This processing has been subject to an authorization request to the CNDP under number: « A-406/2020»

Your data is transferred to Amazon Web Services in Ireland for hosting. This transfer of data abroad has been subject to a request to the CNDP under number: A-406/2020

You can exercise your rights of access, rectification, deletion, and objection in accordance with Law 09-08 by contacting the customer service of Pip Pip Yalah: [email protected]

Pip Pip Yalah may need to modify these General Terms of Use to adapt to its technological and commercial environment and to comply with current regulations. Any modification of these GTU will be published on the Platforms with an indication of the update date, and you will be notified by Pip Pip Yalah before it takes effect.

Pip Pip Yalah is only responsible for fulfilling its obligations to the extent that no event of force majeure hinders them.

These GTU are drafted in Morocco and are subject to Moroccan law and regulations.
